Situation 05 · Carve-out

Standing alone from day one — without bleeding the rest dry.

A part of the company is being split off. As long as each side is modeled on its own, the dividing line blurs before it reaches the individual position.

The Mandate

A part is to be detached and to run alone from day one. In the project charter this is called carve-out, separation or disentanglement.

The problem underneath is that the dividing line is drawn at function level and blurs at position level. Who stays, who goes, who serves both — and what the divesting side loses in the process is seen only once it is gone.

You have to plan the disentanglement anyway. It only needs both sides in one calculation, not two projects each with its own model.

The Decision

Where does the dividing line run, down to the individual position — and what do both sides go on sharing?

What a solution is measured against

A demarcation that holds down to the individual position, a logic for the shared services that both sides can follow, and two structures that are both financially viable.
